Independent Board Director - Technology Innovation & Sustainability Committee Company: NextEra Energy, Inc. Location: Juno Beach, FL (Full-Time Board Commitment / Regular Travel for Quarterly Board Actions) Employment Type: Board of Directors Appointment Company Overview NextEra Energy, Inc. is a leading clean energy company and the world's largest producer of wind and solar energy. As the energy grid becomes increasingly digitized and hyper-dependent on cross-sector collaboration with industrial manufacturing and transportation sectors, we are appointing an independent director to steer our technology innovation and infrastructure sustainability policies. Role Summary & Management Scope The Independent Board Director will provide rigorous governance, fiduciary oversight, and strategic guidance for NextEra's $50B+ portfolio of operational energy investments and clean tech initiatives. Sitting on both the Technology Innovation Committee and the Audit Committee, this director will evaluate long-term risk management regarding grid modernization, public-private utility financing, and corporate decarbonization mandates. The scope includes governing enterprise compliance with federal energy regulations, approving capital expenditures for large-scale infrastructure projects exceeding $1.5B annually, and providing independent oversight to senior executive leadership on emerging market disruptions. Core Competencies & Leadership Capabilities Corporate Governance & Fiduciary Stewardship: Deep knowledge of public company board governance, regulatory compliance, executive compensation structure, and shareholder value creation. Public-Private Infrastructure Financing: Comprehensive insight into navigating capital markets, federal infrastructure grants, and structured private-sector financing for multi-megawatt energy installations. Macro-Energy Strategy & Decarbonization: Authoritative understanding of global energy policies, industrial grid integration, and sustainability frameworks affecting commercial transport sectors. Regulatory & Legislative Acumen: Sophisticated background in working with or advising federal departments (e.g., DoE, Department of Commerce) regarding national infrastructure security and compliance. Stakeholder Interaction Interacts directly with institutional investors, proxy advisory firms, federal energy commissioners, and executive leadership. The director will represent the board at critical industry symposiums, regulatory hearings, and annual shareholder meetings to articulate NextEra's technology and environmental stewardship. Education & Certifications Required: Bachelor of Science in Physics, Engineering, or a highly technical physical science field. Required: Advanced postgraduate degree (Master’s or Doctorate) in Business, Engineering Management, or Corporate Law. Preferred: Prior experience as a corporate officer or senior executive in a heavily regulated industry (e.g., Aerospace, Defense, Utilities, or Telecommunications). Total Board Compensation Package Annual Board Retainer: $350,000 cash retainer Board Equity Compensation: $550,000 annual equity grant in NextEra Energy common stock Additional Fees: $30,000 committee chair retainer (if appointed); full reimbursement for board travel and executive education.
